Total Commander 8.0 rc1 32bit layout=> windows xp theme background
does not work. Total Commander 8.0 rc1 64bit working.

Doesn't it work at all? Or is it just the menubar background, that isn't changing? If so, then it's a known bug and according to www.ghisler.ch/board/viewtopic.php?t=33718, it won't be fixed anytime soon.

This is just the color of the toolbar (buttonbar) and drive buttonbar background. The handling of the menu bar background is a bit different between 32-bit and 64-bit on XP.

Well, the option is called "Windows XP theme background (menu+all bars)". Maybe changing its name (at least in the 32b version) would "solve" this problem.
